1. Who we are and what these terms cover

FeedMatch Group ("FeedMatch", "we", "us") is a human-led, supplier-neutral B2B animal-feed procurement service operated from the Republic of Cyprus and part of the Global B2B Group.

These Terms of Use are a contract between FeedMatch and each person or business that uses the FeedMatch website, request forms, customer and project rooms, tools and procurement service (the "Service"). The Buyer Terms, Supplier Terms, RFQ Terms and Platform Rules add rules for particular users and activities. If a written agreement signed by FeedMatch and you says something different, that agreement applies; otherwise the specific terms apply before these Terms of Use.

2. For business use only

The Service is for businesses only. By using it you confirm that you act for a business — for example a feed mill, integrator, farm business, importer, distributor, supplier, contractor or investor — and not as a consumer, and that you are authorised to act for that business. Request and application forms ask you to confirm this. We may ask for company details and may decline requests that are not business requests.

If, despite these terms, you are a consumer, the mandatory consumer protections of your country of residence apply and nothing in these terms limits them.

3. What FeedMatch does

FeedMatch provides a managed procurement service. Depending on the request, our team may:

• review your request (RFQ) and help you structure the specification, volumes, delivery terms and documents you need;
• research and contact suitable suppliers on your behalf, and ask them to quote against the same written requirement;
• normalise and compare offers in your private project room, labelling each item as a supplier declaration, a document FeedMatch has seen, a FeedMatch estimate, or pending;
• introduce you to a supplier after you approve an offer — supplier identity and contact details are kept back until then, and there is no direct buyer–supplier contact through the Service before that approval;
• where agreed, support negotiation, inspection arrangements or logistics coordination.

We act on your request and in your interest when we contact suppliers, but we are not your legal agent and cannot sign, order, accept or commit on your behalf unless you and FeedMatch agree that in writing.

4. What FeedMatch does not do under the current service

• FeedMatch does not sell, manufacture, produce, store, label or deliver the feed, ingredients, additives or equipment, and is not the seller under a supply or equipment contract.
• FeedMatch does not provide loans, credit, insurance, or legal, tax, engineering, veterinary or nutrition advice (see section 11 and section 19).
• FeedMatch does not certify suppliers or test products (see section 8).

If FeedMatch ever takes on an additional role for a transaction — for example handling payments, arranging logistics, or buying and reselling goods — that role will be agreed separately in writing, and FeedMatch's duties will follow the role it actually takes on.

5. How contracts are formed

• An RFQ, a quotation, an offer comparison or an introduction is not an order and does not create a supply or equipment contract (see the RFQ Terms).
• A supply or equipment contract is made only between the buyer and the supplier, and only when both sign a written agreement, or when the supplier gives a written order acceptance whose terms both have agreed.
• FeedMatch's own Service is governed by these terms and the Buyer, Supplier and RFQ Terms. That is a separate contract between FeedMatch and each user, and it does not make FeedMatch a party to the supply or equipment contract.

6. What each supplier is responsible for

Each party's duties follow its actual legal role. A supplier is responsible, as seller, manufacturer, producer or contractor as applicable, for:

• the authenticity of the goods and of its documents, and good title to what it sells;
• the specification, composition, quality and safety of the goods, including contamination and undesirable substances;
• packaging, labelling, certificates, origin, production and handling, and storage before delivery;
• traceability and lot records, warranties it gives, and compliance with product, feed and food law that applies to it;
• for equipment: conformity and safety declarations (for example CE-type declarations where applicable), the capacity basis it quotes, and any installation and commissioning it agrees to perform.

Feed and feed ingredients. The supplier stands behind the composition and the guaranteed analysis it states (including the basis, such as as-fed or dry matter), the contaminant tests it provides (for example mycotoxins or heavy metals), labelling, traceability and regulatory compliance in the country of origin and, where it has agreed to deliver there, the destination. Certification schemes such as GMP+ or FAMI-QS are private schemes, not law; a certificate covers only its stated scope.

Equipment and plant. The supplier stands behind the stated capacity and the conditions behind it, the utilities its equipment needs, safety conformity, factory and site acceptance tests (FAT/SAT) it agrees to, warranties and spare parts.

7. What each buyer is responsible for

• defining its requirements, including specification, volumes, delivery terms and acceptance criteria;
• evaluating samples, specifications and documents, and verifying that a supplier and its product suit its intended use, with its own qualified nutritionist, veterinarian or engineer;
• permits, registrations and import/customs clearance where the buyer is the importer of record;
• inspection and acceptance of the goods, and their safe storage and use after delivery.

Nothing in this section shifts to the buyer a duty that the law places on the supplier, or shifts to either of them a duty the law places on FeedMatch.

8. FeedMatch's own responsibilities and checks

FeedMatch provides its Service with reasonable care and skill, keeps confidential information confidential as described in section 14, and complies with the laws that apply to its own activities. These terms do not transfer FeedMatch's own legal duties to anyone else.

Where FeedMatch reviews a supplier, it may record and look at documents the supplier provides (for example a company registration or a certificate's issuer, number, scope and expiry) and check a public register where one is available. That review is not certification, product testing, an audit or a guarantee. Items FeedMatch has not checked remain labelled as supplier declarations.

9. How suppliers are selected

FeedMatch is supplier-neutral. We choose which suppliers to contact, and how to order offers, on fit with your written requirement — for example product or scope, specification, capacity, certifications requested, destination and lead time. Suppliers cannot pay for placement or ranking in your shortlist [owner to confirm: no paid, sponsored or priority placement exists]. Being contacted or shortlisted is not an endorsement.

10. Fees

• Buyers use the Service free of charge.
• FeedMatch is paid by suppliers or financing partners — for example a success or introduction fee when a transaction concludes — only under a separate written supplier agreement or onboarding disclosure that sets the fee terms.
• Fees stated in such an agreement exclude VAT; applicable Cyprus VAT is added on top at the rate that applies when the invoice is issued.

11. Prices, estimates, tools and AI output — verify before you rely

Prices, market intelligence, calculators, estimates, translations, AI-assisted outputs and other information on the site are indicative. They may be incomplete or out of date, and they are not legal, regulatory, engineering, veterinary or nutrition, safety or investment advice. Check them against the supplier's written offer, the applicable rules and your own qualified advisers before you rely on them. Translations are drafted with AI help; the Terms are currently published in English.

12. What users promise

Each user promises that:

• it is a business with authority to use the Service, and the information it gives is accurate, current and not misleading;
• it has the right to share any documents, specifications or data it uploads, and will use other parties' information only for the transaction it was shared for;
• it will comply with the laws that apply to its own activities, including sanctions, export-control, anti-bribery and data-protection law.

Suppliers make further promises about their goods and documents in the Supplier Terms.

13. Records, traceability and cooperation

• Suppliers and buyers keep the traceability, lot and transaction records the law requires them to keep, for the period the law requires [record-retention periods by jurisdiction and product type — to be set by counsel].
• Each party tells the others concerned promptly, and cooperates in good faith, if it learns of a product recall, a feed or food safety incident, suspected fraud, or a regulatory inquiry connected with a transaction introduced through the Service.

14. Confidentiality and personal data

Customer, supplier, RFQ and project information — including files in private project rooms — is treated as confidential. It is accessed only by authorised FeedMatch staff and service providers who need it to deliver the Service, or where the law requires. Supplier identity and contact details stay hidden from buyers until an offer is approved. Information is shared with a financing provider only after a separate, specific consent. How personal data is used is explained in the Privacy Policy.

15. Acceptable use

You may not misuse the Service: no fraudulent or fake requests, impersonation, scraping, attempts to access non-public areas, or interference with its operation. The Acceptable Use Policy and Platform Rules apply.

16. Suspension and ending the Service

We may review, restrict, suspend or close an account, request, quotation or application where we reasonably suspect fraud, false company, capacity or ownership information, sanctions or export-control issues, money laundering, bribery, intellectual-property infringement, abuse of other users or staff, or a breach of these terms or the law, and we may ask for supporting documents (such as company registration, beneficial ownership, end-use or licences). Where it is lawful and practical, we will tell you why. You may stop using the Service at any time.

17. Liability

What is never limited. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence where the law does not allow it, fraud or fraudulent misrepresentation, wilful misconduct, gross negligence where the law does not allow it to be limited, mandatory product, feed or food safety duties, breach of confidentiality or data-protection duties where the law does not allow limitation, obligations to pay sums due, or any other liability that cannot be limited under applicable law.

Indirect loss. Subject to the paragraph above, and to the extent the law permits, neither FeedMatch nor a user is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, or business interruption.

Overall cap. Subject to the first paragraph, FeedMatch's total liability to a user arising out of or in connection with the Service in any [PERIOD — to be set by counsel] is limited to [AMOUNT/MULTIPLE — to be set by counsel] of the service fees paid or payable by that user to FeedMatch for the relevant transaction or service in that period. Because buyers pay FeedMatch no fee, a fixed minimum figure is needed: [fixed minimum amount for users who pay no fee — to be set by counsel].

Supply and equipment contracts. FeedMatch is not responsible for a buyer's or supplier's performance of a supply or equipment contract to which FeedMatch is not a party, except for loss FeedMatch itself causes by breaching these terms or a legal duty that applies to it. Claims about the goods or their delivery are made against the party that owes the relevant obligation.

18. Indemnities

Each user will compensate FeedMatch for losses, claims and reasonable costs that arise because that user breached these terms, acted fraudulently or with wilful misconduct, or broke the law. This applies only in proportion to that user's responsibility. It does not affect any third party's rights, and it does not cover losses caused by FeedMatch's own breach or by duties the law places on FeedMatch that cannot be waived.

19. Financing information

• FeedMatch prepares procurement project information. It does not issue loans, make credit decisions, or negotiate, approve, underwrite, price or guarantee financing.
• No financing-provider relationship or availability is currently verified, and mentioning a financing topic does not establish one.
• Financing requests are reviewed internally only after separate consent. An optional interest in an introduction does not authorise any transfer: provider identity, destination countries, data categories, purpose and retention require a separate, specific consent, and provider transfers are currently blocked.
• Any financing decision, terms and agreement belong to the independent provider and the user. These factual descriptions do not decide legal classification or any licensing exemption; local counsel reviews each jurisdiction before provider introductions are enabled.

20. Sanctions, anti-money-laundering and anti-bribery

Users must comply with the sanctions, export-control, anti-money-laundering, counter-terrorist-financing and anti-bribery laws that apply to them, and must not use the Service for goods, funds or end-uses that those laws prohibit. FeedMatch may screen users against public, commercial and government registers and sanctions lists, and may decline or stop an introduction that raises such concerns. See the Compliance Policy.

21. Intellectual property

The website, its content, code, design and trademarks belong to FeedMatch or its licensors. You may use them only to use the Service for your business's genuine sourcing purposes. Documents you upload remain yours; you allow FeedMatch to use them to provide the Service. See the IP Policy for notices and takedowns.

22. Events outside reasonable control

Neither FeedMatch nor a user is responsible for delay or failure caused by events beyond its reasonable control — for example war, government action, epidemics or animal-disease outbreaks, port or customs closures, strikes, cyber-attacks, or hosting and power outages — provided it takes reasonable steps to limit the effect.

23. Changes to these terms

We may update these terms. Each version is labelled at the top of this page. We will give reasonable notice of material changes to users with an open request or agreement; changes do not affect a request already accepted under an earlier version unless you agree.

24. Governing law and disputes

These Terms of Use and any dispute about the Service are governed by the laws of the Republic of Cyprus, and the competent courts of Cyprus have jurisdiction [governing law, court and any exclusivity to be confirmed by counsel]. If, despite these terms, you are a consumer, the mandatory consumer protections of your country of residence apply and are not affected.

25. General

• If a court finds part of these terms unenforceable, the rest continues to apply.
• Not enforcing a term straight away is not a waiver of it.
