Important — Sourcing platform only. FeedMatch operates a sourcing and matching platform that introduces buyers to independent poultry equipment manufacturers, distributors and turnkey farm builders ("Suppliers"). FeedMatch is not a manufacturer, distributor, agent, broker of record or insurer, and is not a party to any supply, installation, financing or service contract. All equipment, services and projects are quoted, sold and delivered solely by the chosen Supplier, who alone is responsible for quality, delivery, installation, warranty, safety and performance.

1. The service

FeedMatch ("FeedMatch", "we", "us") provides an online sourcing and matching service that allows buyers to submit equipment requests and receive non-binding quotations from independent third-party Suppliers. FeedMatch does not manufacture, stock, distribute, install, service, finance or insure any poultry equipment or farm project.

2. Role of FeedMatch — intermediary only

FeedMatch acts solely as a neutral sourcing intermediary. Any equipment, installation, civil works, training, spare parts, logistics, financing, insurance or related service is provided exclusively by the Supplier or other third party you choose. The legal contract for supply and any related services is concluded directly between you and the Supplier. FeedMatch is not a party to that contract and assumes no obligation arising under it.

3. Supplier responsibility

Each Supplier is solely and exclusively responsible for: equipment quality, conformity and certification; valid manufacturing, export, import, customs and regulatory approvals; installation, commissioning and after-sales service; warranty and spare-parts obligations; biosecurity, animal welfare and environmental compliance; scheduling, delays, cancellations and refunds; logistics, shipping, insurance and incoterms; and compliance with all applicable agricultural, trade, sanctions, tax and consumer law in every relevant jurisdiction.

4. No guarantees

Quotes, prices, lead times, equipment specifications, photos, ratings, certifications, warranty terms and any other supplier-supplied information are provided by Suppliers and are indicative only until an order is confirmed in writing by the chosen Supplier. FeedMatch does not verify, endorse, guarantee or warrant any supplier-supplied information and makes no representation as to availability, price, fitness, safety, lead time or quality. Nothing on the platform constitutes a binding offer by FeedMatch.

5. No liability — full disclaimer

To the maximum extent permitted by applicable law, FeedMatch, its affiliates, directors, employees and agents shall have no liability whatsoever, whether in contract, tort (including negligence), statute or otherwise, for any loss, damage, injury, death, delay, cancellation, livestock loss, biosecurity incident, property damage, financial loss, lost profit, lost opportunity, emotional distress, or any direct, indirect, incidental, special, consequential, exemplary or punitive damages arising out of or in connection with: (a) any equipment, installation or service provided by a Supplier or other third party; (b) any act, omission, default, insolvency, fraud, misrepresentation or breach by any Supplier, payment provider, financing partner or other third party; (c) any supplier-supplied information appearing on the platform; (d) any decision you make based on indicative pricing, availability or matching results; (e) any unavailability, error, interruption, security incident or content of the platform; (f) any force majeure event, disease outbreak, regulatory action, permit denial, customs delay, strike or technical failure.

6. Limitation of liability

Without limiting Section 5, and to the maximum extent permitted by law, the aggregate liability of FeedMatch arising out of or related to the platform, regardless of the cause of action, shall not exceed one hundred euros (€100). Where applicable law does not permit the exclusion or limitation of certain liabilities, liability is excluded or limited only to the extent permitted by that law; mandatory consumer-protection rights of your country of residence are not affected.

7. Indemnity

You agree to defend, indemnify and hold harmless FeedMatch and its affiliates, directors, employees and agents from and against any claim, demand, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or related to: (a) your use of the platform; (b) any equipment or service supplied to you by a Supplier or other third party; (c) your breach of these Terms or of any law; (d) any dispute between you and a Supplier, financing partner or other user.

8. Eligibility & accurate information

You must be 18+ and provide accurate, lawful information. You are responsible for import licences, customs, duties, VAT, sanctions screening, biosecurity rules and any other obligations applicable to receiving and operating poultry equipment in your jurisdiction.

9. Acceptable use

You may not misuse the platform, attempt to access non-public areas, scrape data, submit fraudulent or unlawful requests, impersonate any person, or interfere with operation. We may suspend or terminate access at any time, with or without notice, at our sole discretion.

10. Supplier listings & rankings

Supplier listings are based on information supplied by Suppliers. Featured, sponsored or priority placement may reflect commercial relationships. Listing does not constitute endorsement, verification or recommendation by FeedMatch.

11. Disclaimers

The platform is provided "as is" and "as available". To the maximum extent permitted by law, FeedMatch disclaims all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, accuracy, non-infringement, security and uninterrupted availability.

12. Intellectual property

The platform, its content, code, design and trademarks are owned by FeedMatch or its licensors and protected by applicable law. You receive a limited, revocable, non-transferable license to use the platform for your own legitimate sourcing purposes only.

13. Governing law & disputes

FeedMatch Group is operated from the Republic of Cyprus. These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules, and the competent courts of Cyprus have exclusive jurisdiction, save that mandatory consumer-protection rights of your country of residence are not affected. Any dispute against FeedMatch must be brought individually; class actions are waived to the extent permitted by law. Disputes regarding any equipment or service must be brought against the Supplier that performed or was contracted to perform it.

14. Changes

We may update these Terms at any time. The "Last updated" date will reflect any change. Continued use after changes constitutes acceptance. If you do not agree, stop using the platform.

15. Severability

If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

17. Financing Services Disclaimer

FeedMatch Group is not a lender or financial institution. FeedMatch Group is not a lender, bank, financial institution, credit provider, investment advisor, or regulated financial services provider in any jurisdiction.

  • The platform operates solely as a technology, sourcing, and business introduction platform.
  • The platform does not provide loans, credit, financial advice, investment advice, tax advice, legal advice, or regulated financial services.
  • The platform does not negotiate, approve, underwrite, price, or guarantee financing.
  • Financing requests submitted through the platform may, subject to user consent, be shared with an independent third-party financing provider for evaluation purposes only.
  • Any financing approval, terms, pricing, underwriting, due diligence and contractual arrangements are determined solely by the financing provider.
  • Financing is not guaranteed and remains subject to eligibility, compliance checks, and lender approval.
  • Users are solely responsible for conducting their own legal, tax, financial, and commercial due diligence.
  • Any financing agreement exists exclusively between the user and the independent third-party financing provider.
  • FeedMatch Group assumes no liability for financing decisions, lender actions, defaults, project failures, or disputes arising from any financing introduction.

18. What FeedMatch Group is not

FeedMatch Group is an independent B2B marketplace and sourcing platform. FeedMatch Group is not a poultry farm, hatchery, breeder, veterinarian, engineering company, equipment manufacturer, installer, feed supplier, vaccine supplier, logistics provider, insurer or financing institution. FeedMatch Group is not responsible for poultry performance, hatchability, flock health, productivity, mortality, feed conversion or production results. Technical information, product specifications, certifications, pricing, delivery schedules and warranties originate from suppliers or third parties and may change without notice. Buyers are solely responsible for farm management, biosecurity, veterinary supervision and compliance with local regulations.

19. Force majeure

FeedMatch Group shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including without limitation acts of God, war, terrorism, riots, embargoes, government actions, epidemics, pandemics, avian influenza or other zoonotic disease outbreaks, quarantine restrictions, port or customs closures, strikes, labour disputes, cyber-attacks, telecommunications or hosting outages, power failures, and interruptions of third-party services.

20. Account suspension & termination

To the maximum extent permitted by applicable law, FeedMatch Group reserves the right, at its sole discretion and without prior notice or liability, to review, restrict, suspend, terminate, delist or permanently ban any user, account, listing, RFQ, quote, message or content where appropriate, including where FeedMatch Group has reasonable grounds to suspect: fraud; fake or shell companies; identity theft; false farm, capacity or ownership information; animal welfare violations; illegal livestock trade; counterfeit or non-conforming products; sanctions or export-control violations; money laundering; terrorist financing; corruption or bribery; intellectual property infringement; abuse of the marketplace, other users or staff; circumvention of platform fees; or any breach of these Terms or applicable law. FeedMatch Group may request additional documentation (identity, company registration, source of funds, ultimate beneficial ownership, end-use, licences) at any time and may withhold platform services pending review.

21. Fraud prevention & identity checks

FeedMatch Group may, at its discretion and where appropriate, perform screening against public, commercial and government registers, sanctions and politically-exposed-persons lists, adverse-media databases, and beneficial-ownership records. FeedMatch Group may reject or terminate any request that fails such screening. Users must not provide false, misleading or impersonated information.

22. AML, CTF and anti-corruption

Users represent and warrant that they will not use the platform in violation of any applicable anti-money-laundering (AML), counter-terrorist-financing (CTF), anti-bribery or anti-corruption laws (including the U.S. FCPA, the UK Bribery Act and equivalent EU / Cyprus legislation). Users will not offer, promise, give, request or accept any undue advantage in connection with the platform or any transaction introduced through it. See our Compliance Policy.

23. International sanctions & export control

Users are responsible for complying with all applicable trade-sanctions and export-control regimes, including those of the EU, the Republic of Cyprus, the United Nations, the United States (OFAC / EAR / ITAR), the United Kingdom and any other relevant jurisdiction. Users must not use the platform to source, sell, ship, transship, re-export or finance goods, services, technology or funds to or from any sanctioned country, entity or individual, or for any prohibited end-use. FeedMatch Group may refuse or reverse any introduction that raises sanctions or export-control concerns.

24. Intellectual property infringement

FeedMatch Group respects intellectual property rights. See our Intellectual Property Policy for takedown, counter-notice and repeat-infringer procedures.

25. Third-party services disclaimer

The platform integrates with, links to or embeds third-party services (hosting, payment, authentication, mapping, translation, analytics, messaging, AI providers and independent financing partners). FeedMatch Group does not control and is not responsible for third-party services, their availability, security, accuracy, terms or privacy practices. Use of a third-party service is governed by that provider's own terms.

26. AI-generated content disclaimer

Parts of the platform (matching, drafting assistance, summaries, translations, calculators, guides, recommendations) may use artificial-intelligence tools. AI outputs are provided for informational and productivity purposes only, may be inaccurate, incomplete or out of date, and are not professional engineering, veterinary, legal, tax, financial or investment advice. Users must independently verify AI outputs before relying on them and must not use the platform's AI features to generate unlawful, misleading, defamatory or infringing content.

27. Cyber security & responsible disclosure

FeedMatch Group applies commercially reasonable administrative, technical and organisational safeguards. No system is perfectly secure. Suspected vulnerabilities should be reported via our Responsible Disclosure Policy; unauthorised testing, exploitation, denial-of-service, credential-stuffing, scraping or reverse-engineering are strictly prohibited.

28. Reservation of rights

All rights not expressly granted in these Terms are reserved by FeedMatch Group. No provision of these Terms is a waiver of any right. Failure to enforce any provision shall not constitute a waiver of future enforcement.

29. Versioning

Each legal document on the platform is versioned and dated. Prior versions are available on request via legal@feedmatchgroup.com.
