Supplier Terms
Version 2026-R1 draft · Draft for counsel review · Effective date: [effective date — set on publication]
Related: Terms of Use · RFQ Terms · Platform Rules · Compliance · Legal Center
These Supplier Terms apply to every manufacturer, producer, distributor, trader, equipment maker, contractor, logistics or service provider ("Supplier") that applies to FeedMatch, receives an RFQ from FeedMatch or quotes through it. They add to the Terms of Use. FeedMatch is a managed, human-led procurement service acting on buyers' requests: it contacts Suppliers, compares their offers and introduces a Supplier to a buyer once the buyer approves that Supplier's offer.
1. Business use and authority
You confirm that you act for a business, not as a consumer, and that you are authorised to apply, quote and contract for it. The application form asks you to confirm this.
2. Relationship
Each Supplier is independent. FeedMatch is not the Supplier's agent, distributor, partner or employer, and under the current service it is not a party to the contract between the Supplier and the buyer. If FeedMatch takes on another role for a transaction (for example payments, logistics, or buying and reselling), that role is agreed separately in writing.
3. Information and documents you provide
Provide accurate and current company registration, tax identifiers, production or factory address, beneficial ownership and the certificates you claim (with issuer, number, scope and expiry), and update them when they change. FeedMatch may record and look at those documents and check a public register where one is available. That review is not certification, testing or a guarantee; anything not checked stays labelled as your declaration. FeedMatch may decline or remove an application whose information is outdated, unverifiable or misleading.
4. Your responsibilities for the goods
As seller, manufacturer, producer or contractor, you are responsible for:
- authenticity of the goods and documents, and good title to what you sell;
- specification, composition, quality and safety, including contamination and undesirable substances;
- packaging, labelling, certificates, origin, production and handling, and storage before delivery;
- traceability and lot records, and the warranties you give;
- compliance with the product, feed and food law that applies to you in the country of production and, where you agree to deliver there, the destination;
- for equipment: conformity and safety declarations (such as CE-type declarations where applicable), the basis of the capacity you state, utilities required, FAT/SAT you agree to, installation and commissioning you agree to perform, warranties and spare parts.
For feed and feed ingredients, state the guaranteed analysis and its basis (for example as-fed or dry matter) and the tests you provide (for example mycotoxins or heavy metals, with laboratory, date and lot). Private schemes such as GMP+ or FAMI-QS are not law; describe a certificate only within its stated scope.
5. What you promise
- Your quotations describe what you will actually supply and disclose any deviation from the buyer's requirement, exclusions and conditions.
- The goods will match the specification and documents you provide, and you have the rights to the images, drawings and specifications you share.
- You will comply with the sanctions, export-control, anti-money-laundering and anti-bribery laws that apply to you (see the Compliance Policy).
6. Contracts with buyers
A supply or equipment contract is made only between you and the buyer, when both sign a written agreement or you give a written order acceptance on terms both agreed. Quotations sent in response to an RFQ are not orders (see the RFQ Terms).
7. Fees
Any fee you pay FeedMatch — for example a success or introduction fee when a transaction concludes — applies only under a separate written supplier agreement or onboarding disclosure that states the fee terms [fee basis, tiers and payment trigger to be set in the written supplier agreement]. Fees exclude VAT; applicable Cyprus VAT is added on top at the rate that applies when the invoice is issued. Suppliers cannot pay for placement or ranking in a buyer's shortlist.
Where a fee applies, do not conclude a transaction with a buyer FeedMatch introduced while avoiding FeedMatch in order to avoid that fee. This does not restrict a relationship with a buyer that you can show existed before the introduction.
8. Buyer information and data protection
Use RFQ and buyer information only to quote for and perform the transaction it was shared for. You are an independent controller of any personal data you receive, and must comply with the data-protection law that applies to you.
9. Records, recalls and incidents
Keep the traceability, lot and transaction records the law requires [retention periods — to be set by counsel]. Tell FeedMatch and the affected buyer promptly, and cooperate, if you learn of a recall, a feed or food safety incident, suspected fraud or a regulatory inquiry affecting goods supplied to a buyer introduced through the Service.
10. Indemnity
You will compensate FeedMatch for losses, claims and reasonable costs that arise because you breached these terms, supplied unsafe, non-conforming or misdescribed goods or documents, acted fraudulently, or broke the law — in proportion to your responsibility. This does not cover losses FeedMatch causes itself and does not affect any third party's rights.
11. Liability
Liability between you and FeedMatch is governed by section 17 of the Terms of Use, including the limits that can never be excluded.
12. Review and removal
FeedMatch may decline an application, stop sending RFQs, or remove a Supplier where it reasonably suspects inaccurate information, non-conforming goods, misuse of buyer data, sanctions concerns or a breach of these terms, and may cooperate with authorities where the law requires.
13. Governing law
These Supplier Terms are governed by the laws of the Republic of Cyprus, and the competent courts of Cyprus have jurisdiction [governing law, court and any exclusivity to be confirmed by counsel]. If, despite these terms, you are a consumer, the mandatory consumer protections of your country of residence apply and are not affected.
