RFQ Terms
Version 2026-R1 draft · Draft for counsel review · Effective date: [effective date — set on publication]
Related: Terms of Use · Buyer Terms · Supplier Terms · Legal Center
1. Scope
These RFQ Terms govern requests for quotation ("RFQs") that buyers submit to FeedMatch, how FeedMatch handles them, and the quotations suppliers return. They add to the Terms of Use.
2. RFQs and quotations are not contracts
An RFQ, a quotation returned in response, an offer comparison and an introduction are communications for evaluation and negotiation. They are not an offer or acceptance that forms a contract. A supply or equipment contract arises only between the buyer and the supplier, when both sign a written agreement, or when the supplier gives a written order acceptance on terms both agreed. FeedMatch is not a party to that contract under the current service.
3. Accuracy
Buyers submit RFQs for their own business and confirm that the project data — product or scope, specification, volumes, site, capacity, delivery terms, timeline and end-use — is accurate. Suppliers quote against the RFQ as written and disclose any deviation, exclusion or condition.
4. How FeedMatch handles an RFQ
- A person on the FeedMatch team reviews each RFQ before any supplier is contacted, and may ask the buyer to clarify it.
- FeedMatch chooses which suppliers to contact, and orders their offers, on fit with the written requirement — for example product or scope, specification, capacity, certifications requested, destination and lead time. Suppliers cannot pay for placement or ranking. Being contacted or shortlisted is not an endorsement or certification.
- FeedMatch shares with suppliers only what they need to quote. The buyer's identity and contact details, and the supplier's identity and contact details, are shared once the buyer approves an offer.
- FeedMatch does not guarantee the number, price, timing or availability of quotations, or any supplier's willingness or ability to perform.
5. Confidentiality
Suppliers may use RFQ information only to quote and, if selected, to perform the transaction. Onward disclosure, resale or use for any other purpose is prohibited.
6. AI-assisted drafting
Drafting suggestions, summaries and translations may be prepared with AI tools and checked by the team. They are informational; buyers and suppliers must verify all technical, commercial and compliance details before contracting (see the Disclaimer).
7. Declining or removing an RFQ
FeedMatch may decline, pause or remove an RFQ or quotation that appears fraudulent, sanctioned, unlawful, abusive, duplicated, outside business use, or in breach of these terms or the Acceptable Use Policy, and will tell the user where it is lawful and practical.
8. Governing law
These RFQ Terms are governed by the laws of the Republic of Cyprus, and the competent courts of Cyprus have jurisdiction [governing law, court and any exclusivity to be confirmed by counsel]. If, despite these terms, you are a consumer, the mandatory consumer protections of your country of residence apply and are not affected.
